Bingham’s Financial Institutions Corporate and Regulatory Group has guided the legal affairs of banks and holding companies, including some of the world’s foremost financial institutions. Our lawyers conduct a vibrant practice handling corporate and regulatory matters for banks and other financial institutions, including mergers and acquisitions, sales, bank regulatory and securities law compliance, bank and financial holding company matters, and general corporate counseling. We strive to deliver the highest quality representation on a basis that is economically efficient for clients.
Bingham has effectively and successfully represented banks for more than 110 years in their domestic and international business initiatives. The members of our experienced legal team address the full breadth of legal requirements, including bank regulatory and securities law compliance, bank and financial holding company matters, general corporate counseling, and as counsel on acquisitions, sales and other transactions. Our group’s advice typically ranges from general counseling to targeted, highly complex regulatory matters. In all instances we strive to deliver the highest quality representation on a basis that is economically efficient for our clients. We have participated heavily in the ongoing consolidation of the U.S. banking industry, including serving as counsel in some of the largest merger and asset disposition transactions in U.S. banking history.
We serve as a primary legal adviser to a wide range of institutions in the financial services industry, including banks, thrifts, finance companies, securities firms, payment system processors, asset managers and insurance companies, in all of their legal affairs both domestic and international. We are proud to represent numerous regional and community institutions as well as leading national and global financial institutions. We guide financial institutions from inception through their maturation and, for some, to a growth track record ranking them among the largest in the United States. We also serve as special counsel on a wide spectrum of critical matters for many financial institutions or their owners, such as acquisitions, dispositions and regulatory matters. We serve as U.S. counsel for foreign banks and for foreign governments, privatizing financial institutions or resolving failed institutions.
Bingham’s Financial Institutions Corporate and Regulatory Group lawyers have dedicated their careers to advising clients on the critical and often-changing issues facing businesses in this arena. Some of the principal members of the Bingham team have served as in-house counsel for financial institutions, giving them a valuable firsthand perspective on the strategic business objectives facing the industry. Our focus is on problem solving; our goal is to assist our clients in accomplishing their business objectives in a cost-effective manner while avoiding legal barriers. We operate as members of a team consisting of the client’s senior line management and staff, in-house counsel, and the client’s other outside advisers. We also pride ourselves in offering our senior partners’ hands-on, active participation in any project for which we are engaged.
Financial Regulator Relationships
To best serve our clients, we maintain close working relationships with all of the federal financial institution regulators as well as key regulatory contacts in the states in which our clients operate. We have strong ties to senior staff of the federal bank regulators. We have worked closely with state banking regulatory bodies in many jurisdictions.
